
The Continent 8 Loyalty+ programme (the “Programme”) is operated by Continent 8 Technologies (“Continent 8”, “C8”, “we”, “us” or “our”). It is a benefit for our business customers that lets you earn credits on your spending with Continent 8 and redeem those credits against Continent 8 security services.
These terms and conditions (the “Terms”) explain how you earn, hold and redeem credits. By earning or redeeming credits, you accept these Terms.
The Terms apply alongside your existing service agreement or agreements with Continent 8. They do not change the price, scope or terms of the services you buy. If anything in these Terms conflicts with your signed service agreement, the service agreement takes precedence in relation to the supply of services, and these Terms govern the operation of the Programme.

The Programme is open to Continent 8 business customers who hold a current contract or have invoiced spend with us. It is intended for businesses only and is not open to consumers. Eligible customers are enrolled automatically and there is no separate application to make.
We may decline to enrol a customer, or remove a customer from the Programme, where we reasonably consider it necessary, including where this is required by law, regulation or applicable sanctions rules.
You earn credits on the amounts you are invoiced for eligible services across any Continent 8 business unit. The base earning rate is 5% of the invoiced amount. So USD 10,000 of eligible monthly spend earns 500 credits, with a redemption value of USD 500.
Some customers earn at a higher rate. Enhanced rates reflect the depth of your relationship with Continent 8, for example the size of your MSOC subscription, how long you have been a customer, and how many business units you use. The current earning rates, and the way the enhancements are combined, are set out in the Programme documentation and may be updated from time to time. Enhanced rates that depend on an MSOC subscription apply to non-MSOC spend.
One-off bonus credits may also be granted when you sign a qualifying contract, based on the Total Contract Value of that contract.
We calculate credits in good faith from our billing records. If credits are added in error, or relate to spend that is later cancelled, credited back or not paid, we may adjust your balance to correct this.
For contracts of twelve months or longer, the full amount of credits for the contract term is normally granted upfront when the contract is signed. This is calculated as your monthly eligible spend, multiplied by your earning rate and the number of contract months, plus any milestone bonus.
For shorter or rolling arrangements, credits accrue after each invoice is paid rather than being granted in advance.
One credit has a redemption value of USD 1.00 when applied to eligible security services. Credit values are shown in US dollars regardless of the currency in which you are invoiced.
Credits are a benefit and not a form of payment or stored money. They cannot be exchanged for cash or account credit, and they have no value outside the Programme.
You can redeem credits against the security services and fee offsets. These include one-off security services such as vulnerability scans, phishing simulations, penetration testing and assessments, and ongoing security subscriptions.
The following rules apply to redemption:
To redeem credits, contact your account manager or follow the process that Continent 8 makes available. A redemption is confirmed once Continent 8 accepts it, and credits are then deducted from your balance on a first in, first out basis (see section 8).
When you redeem credits, the oldest credits in your balance are used first. This keeps your newer credits, which have longer left before they expire, available for as long as possible.
Credits expire twelve months after their grant date. This applies both to credits granted upfront on a contract and to credits that accrue monthly.

Once credits expire they are removed from your balance and cannot be reinstated.
If you renew a contract, we grant a new allocation of credits for the renewal period, calculated at the rates that apply at renewal. Any unexpired credits you already hold roll forward, and their expiry date resets to twelve months from the renewal date. Your earning rate may increase at renewal if you have crossed a tenure threshold.
If you end all of your contracts and services with Continent 8 so that no active service remains, you have a grace period of 90 days from the end of your final service to redeem any remaining credits. After that period, any unredeemed credits expire and are forfeited.
If you keep any active Continent 8 service, your credits remain valid under the normal rules.
Where credits were granted upfront for a contract term and that contract ends early, any credits that have not yet been redeemed and that relate to the remaining part of the term may be forfeited or removed from your balance. Credits already redeemed for services that have been delivered are not affected.
Credits belong to your account and are for your use under these Terms. They cannot be sold, transferred or assigned to anyone else, combined with another customer’s credits, or used as security for any obligation.
We may suspend, withhold or cancel credits, and may suspend your participation in the Programme, if we reasonably believe that credits have been earned or used through fraud, error or abuse, or through a breach of these Terms or of your service agreement.
The Programme is offered at Continent 8’s discretion. We may change these Terms, or the earning rates, and we may suspend or withdraw the Programme. Where we make a significant change that affects you, we will give you reasonable notice, normally through your account manager or by other written notice.
Changes to earning rates and catalogue prices apply from the date of the change. They do not reduce the redemption value of credits already in your balance, which remains one credit to USD 1.00 against eligible services. If we withdraw the Programme, we will tell you how long you have to redeem the credits you already hold.
You are responsible for any taxes that apply to you as a result of earning or redeeming credits. If you are unsure how the Programme affects your tax position, you should seek your own advice.
Credits are provided as a benefit in connection with your service agreement. Nothing in these Terms creates any right to a refund, cash payment or compensation in respect of credits. Our liability in connection with the Programme is governed by, and subject to the limits in, your service agreement with Continent 8. Nothing in these Terms limits any liability that cannot be limited by law.
These Terms, together with your service agreement, form the entire agreement between us about the Programme and replace any earlier statements about it.
If any part of these Terms is found to be invalid or unenforceable, the rest continues to apply.
If we do not enforce a term, that does not mean we give up the right to do so later.
These Terms will follow the governing law and venue of action agreed to by the parties in the Service Agreement/ MSA (Master Services Agreement).
